WHO are we looking for?


We are seeking a full-time Commercial Transactions Counsel to join our internal legal team. This attorney will serve as a trusted legal advisor to business leaders, with primary responsibility for drafting, reviewing, negotiating, and managing a broad range of complex commercial agreements. The position requires extensive experience negotiating directly with opposing counsel, resolving contractual and legal issues in a pragmatic and business-focused manner, and supporting procurement and sales processes through legal review of requests for proposals (RFPs), due diligence questionnaires, and related contracting documents. The successful candidate will balance legal risk management with business objectives while collaborating closely with stakeholders across the organization.

 

The internal title for this role is intended to be Corporate Counsel | Legal.

Responsibilities

  • Lead the drafting, review, negotiation, and interpretation of complex commercial agreements.
  • Independently manage a high-volume and diverse portfolio of commercial contracting matters from intake through execution.
  • Negotiate directly with external counterparties and opposing counsel to achieve commercially reasonable outcomes while appropriately managing legal and regulatory risk.
  • Review, analyze, and respond to legal terms and requirements contained in requests for proposals (RFPs), due diligence questionnaires, procurement documents, and related client contracting materials.
  • Identify opportunities to improve contracting processes through automation, process optimization, and other scalable legal operations initiatives.
  • Provide practical, business-oriented legal guidance to internal stakeholders regarding contractual obligations, risk allocation, liability provisions, data privacy issues, indemnification obligations, and dispute resolution matters.
  • Partner with business development, operations, compliance, information security, and other internal teams to support new business opportunities and strategic initiatives.
  • Develop and maintain contract templates, playbooks, negotiation standards, fallback positions, and other legal resources designed to improve contracting efficiency and consistency.
  • Identify legal and regulatory issues arising from commercial transactions and coordinate with internal stakeholders and outside counsel, as appropriate.
  • Advise business leaders regarding legal, regulatory, and operational risks associated with commercial relationships and enterprise initiatives.
  • Support institutional and wealth advisory teams on contracting matters, client negotiations, and legal requests.
  • Communicate complex legal concepts clearly and effectively to business professionals and senior management.

Qualifications

Minimum Qualifications:

  • Juris Doctor from an accredited law school.
  • Licensed to practice law and in good standing in at least one U.S. jurisdiction.
  • 5-8 years of legal experience, including substantial experience drafting, negotiating, and advising on complex commercial contracts.
  • Demonstrated experience leading contract negotiations with sophisticated counterparties and outside counsel.
  • Experience analyzing and responding to legal terms and requirements contained in RFPs, procurement documents, due diligence questionnaires, and vendor contracting processes.

Desired Qualifications/Skills:

  • Excellent written and verbal communication skills, including the ability to explain legal risks and recommendations to non-legal audiences.
  • Strong judgment, negotiation, issue-spotting, and problem-solving skills.
  • Experience with an Am Law 200 law firm and/or a sophisticated in-house legal department.
  • Experience supporting professional services, financial services, consulting, or other knowledge-based organizations.
  • Experience developing contract standards, templates, negotiation playbooks, and legal process improvements.
  • Experience supporting registered investment advisers, retirement plan service providers, institutional consulting practices, or other regulated financial services organizations.
  • Knowledge of ERISA, the Investment Advisers Act, and regulatory frameworks applicable to financial services organizations.
  • Experience supporting institutional client relationships and investment advisory contracting.
